Terms of engagement
This is the summary. You get the full contract before you sign anything.
We publish it because none of the agencies we reviewed do, and because contract surprises always surface after you've paid.
When the work starts
Once the deposit is paid and you've sent the material: copy, images you have the rights to, logo, tax details and any logins you already have. Both things, not one. The clock stops while anything is missing and restarts the day the last piece arrives.
How you pay
In two parts: a deposit on signing and the rest on delivery, before we publish. The exact split is written into your quote, not into a general price list. Spanish VAT of 21% is added to every price.
If an invoice runs late, the statutory late-payment interest of Spanish Law 3/2004 applies, and after a period set out in the contract we can suspend the service, with written notice first.
Revisions
Three rounds included in the price. From the fourth on we quote separately, by the hour, and nothing starts until you approve it in writing. An email counts as writing.
Who owns the code
Once it's paid in full, yours: we assign the rights to reproduce, distribute, communicate publicly and modify, exclusively, worldwide, for the full term the law allows. Until that final invoice the ownership stays with us and you hold a licence to review the work.
There is one exception and we spell it out: the generic components and utilities we reuse across projects stay ours. On those you get a perpetual, non-exclusive licence, which is what you need for your site to run and be maintained without us.
Warranty
Ninety days from launch. If something we delivered stops working in that window, we fix it at no charge. It doesn't cover what breaks because you changed it, or new features.
If either side wants out
Either side can terminate for a serious breach by the other, with written notice and time to put it right. If you walk away without a breach on our side, the deposit isn't refunded and we invoice the work done up to that point. If we walk away without cause, we return the part of the deposit we haven't worked.
Governing law
Spanish law, and the same as the legal notice says: for business and professional clients, the courts of Granada; if you contract as a consumer, the courts where you live. The contract you sign repeats this same rule, not a different one.
And one thing we don't do
We don't hold on to your domain, keep the code as leverage, tie you into a minimum term, or auto-renew the monthly fee without telling you. Those are the industry's four standard levers to stop you leaving, and we use none of them.
